A few more actors to the cast list of this feature / tale; Mr C, and Mr W, and we have an employer “O”. 


Again back to the blaming, accusations and suing right left and centre.
(I believe this to be a very old human trait, escalated and expanded into widespread fashion in America - and slowly spreading Its ugly tentacles around the globe - all the way down in Australia.)
It’s so futile, but it is the path we&#39;re choosing more often than not, why I don’t know. Although I have a good guess, and a tendency to blame our stubborn and childish subconscious mind – the “EGO”.

If we only could follow the Lao-Tzu, or St Francis, two very wise men that preached peace and forgiveness. Yes forgiveness, which interestingly put a question in my mind: “Are forgiveness one of the most misunderstood words /concept in our modern world?”

The little-known fact that hatred, revenge and anger, actually imprisoning us, we are completely shackled by the person or entity that we carried this hatred and anger towards. Many times the subject for our hate and revenge goes on completely unbeknown of our anger towards him / her or that.

Due to these indisputable facts, we can forgive as well, equally unbeknown to the subject of a our issues. What the forgiveness do however is freeing us from the imprisonment, from the shackles, we can start living at free life, moving on with full energy towards our own successes.

I will actually like to quote St Francis prayer here, don’t believe I used it in a blog before;

Prayer of Saint Francis of Assisi;
Lord, make me an instrument of your peace.
Where there is hatred, let me so love;
where there is injury, pardon;
where there is doubt, faith;
where there is despair, hope;
where there is darkness, let me bring a light,
and where there is sadness, I will spread joy.

Please consider&amp;#160; -&amp;#160; please spend 15 to 30 minutes now and then in meditation, contemplating whether the anger we&#39;re carrying and the revenge we pursuing are serving us. Furthermore is it a realistic pursuit, or is it already now a doomed project that our childish ego refuses to let go of?

I leave it with you dear reader, now let’s go back to Mr R and his problems;

Mr R Gona sue the landlord;
Times were tough back then, so when Mr R and the company were unable to pay rent, the landlord of course threatened to lock them out of the premises. And true to his word, Mr landlord did just that as soon as the rent was overdue.

The calculated over due rent at a time amounted to a small sum of less than $1700.00, an amounted that probably could have been organised and the disputes settled within a week or 2. However, Mr R as all of us has his ego, pride and stubbornness, therefore he opted to inform the landlord that he intended to proceed with legal action.

The suggestion from Mr R was that he sue the landlord for damages to his business, the estimated amount for these actions was $150,000.00 – yes; “one hundred and fifty thousand Dollars”.

Needless to say this act of revenge eliminated all possibilities of negotiations, the landlord maximised Mr R’s contractual commitments to the amount of about $8000.00, in addition adding debt collecting fees of another $4000.00.

As a consequence a nice invoice almost $12,000 was issued, but it was not sent to the insolvent company - there were nothing to be found there. Instead the claim was sent to Miss P, after all this clever little girl had put her guarantees behind several of the company committments.


Now we have Mrs T in the process of suing Mr R and Miss P to recover her claim against the insolvent company.

Little does she know that to reach the directors of the company she must first appoint administrators, in other words seek liquidation of the company. This was exactly what Mr R for a while intended, the problem was that he was unable to raise the $5000-$10,000 needed for the process. As a matter of fact there was no creditors in this business collapse that had a big enough claim to justify funding the liquidation process. (Including the mentioned landlord with a $12,000 claim, or a large nationwide bank with a $20,000 claim.)

Now Mrs T is in the pursuit of spending this $5000-$10,000 to proceed with the liquidation of the company. After succeeding with this she can proceed to spend big dollars in legal processes against the director of the company Miss P. However, it is the knowledge, with certainty, of the author here, that Miss P have already proceeded with applying for personal bankruptcy due to the overwhelming debt ($50,000.00) that was facing her after the company collapse.

Meaning that there is no courts in the world, that can force Miss P to contribute any money. And even more so, Miss P is under the control of a bankruptcy administrator, she would be breaking laws if she should favour one creditor in front of another.

Should Miss P have any funds available, and be inclined to distribute to the companies creditors - she then need to hand over available / allocated funds to the administrator - he in turn will then disburse the money equally between all creditors.

An alternative remaining for Mrs T would be to take Mr R to court, here she need to prove that Mr R was responsible for the company’s commitments prior or to becoming a director in March 1913.

Had this been the local battle, been able to be played out in a local magistrate court. Then it might be possible that the cost would remain under or around $10,000, bearing in mind though, that it would be unlikely that the court would appoint Mr R liable for commitments prior to his directorships.

Again the author here have reasent news from reliable sources, that Mr R have left the country of his crimes, most likely a permanent departure. So here we have the second good example of futility of hatred and revenge, and also evidence that such action often backfires and harm the attacker more that the attacked.

In this suing and revenge process we also have a Mr W, sort of a background figure, but he believed himself to be badly treated, not getting what he expected out of the company. He of course attempt to sue the company (and as usual with zero funding it is just not happening), so he attacks Mr R for false information. And too round it all up Mr W attacks both Miss P and Mr P to relieve his anger and revengefulness.

And as mentioned, the landlord choose to attack and sue Miss P as they see her as the easiest victim. An action which almost could be regarded as a favour, it made Miss P’s decision-making so easy there was simply no option but to seek the protection under bankruptcy laws.

Even Mr P by the way, as far as the author is aware, have contemplated the path of suing and attempting to recover some small claims of $3,000-$4000 only, but with a bit of consideration it is easy found that one cannot afford to take legal action for such small amounts.




I would like to suggest that for amounts less than $5000.00 we have to rely on the payee’s goodwill, there is no way to get through the legal system - and then assigning debt collectors to recover lesser amount.

And in the meantime, while everybody is very busy in their revenge and pursuits, the real cowered behind the scene has landed either in England - or possibly in the Middle East somewhere. Possibly enjoying the northern hemisphere summer, sipping a cup of coffee - and happily planning his future ventures.

Most importantly, Mr R is totally unaware of this blog posts, and the struggle and efforts that he left behind – “at the scene of his crimes.”

My closing, and advise here, would possibly be to trust Grace and the Universal Forces, in the long-term honesty prevail - and the criminals will be punished. We live in a world of giving and taking, the more you give the more you get, and whatever you give out to others - will come back to you eventually.

Before we dive back into a little story, please let’s look at the human phenomenon that always arises in this situation is.

We as human tend to start as king quite unproductive questions. Questions like;

Who’s fault is it?
Who is to blame?
And who is going to “hang for this” terrible sin?

These are actually quite futile questions, and therefore a big waste of time.

The questions arises anger, and they are always coming from the ego within. Coming from the EGO reasoning;
“” I can’t be wrong, so therefore somebody else have to be wrong””.

The rules and the benefits in relation to taking full responsibility.

Here we have an excellent chart commonly presented by Mr; Stuart Zadel from TGR seminars;


As we see, taking responsibility, are putting ourselves above the line, allows us to have control - to set ourselves up for victory.

Conversely, getting into anger and blame, gives us no control (let’s be honest, we have no control whatsoever over other people’s behaviour and actions.) we can blame all day and throughout our entire life - but it can only render us helpless and out of control.

We set ourselves up for being victims, we are always at the mercy of the people we blame.

Examples;
My house get burgled, I get angry and blaming the burglar, maybe also the society, the police for not looking after the neighbourhood properly.

In the blaming mood nothing will change, “I didn’t do anything wrong so I don’t need to change anything” says our EGO. - And next year’s holiday I may well get burgled again.

On the other hand, taking responsibility would automatically make me ask some more productive questions;
How did I set myself up for this incident?
What could I have done differently, better locks and security, maybe a burglar alarm?
Could I have notified my nearby neighbours, maybe have somebody pick up the mail, turning lights on and off occasionally - and so on.

I cannot change burglars, but I can change my actions and therefore my situation&amp;#160; -&amp;#160; if I take some form of responsibility for what happened to me.


With that being said, let’s go back to our story.
Let’s see what Mr R and Miss P is up to in the early weeks of 1913.

As mentioned, Mr R now puts the “cards on the table”, he tells Miss P that his intention is for her to be his wife and the mother of the sons that so far eluded him. This is of course shocking news for Miss P, she let him know that it is ludicrous and that it’s not going to happen.

This however, was only the small setback for Mr R, his six months of courtship and spending towards Miss P is now becoming obvious – and of cause reach Mrs R as well. As Mrs R has control rights over bank accounts, all funds are now frozen and no money is available pending either settlements/agreement or a complete divorce for our “Mr R”.

As mentioned previously, Mr R seems to have a tendency to suffer from denial, (please see the chart above, notice in what category denial puts us; Victors or Victims?) so even after these incidents he cannot see the seriousness of the situation. He goes to Mr P and borrowers about $2,000.00 to cover due rent expenses, loan under the premise of a 48 hour payback period.

Mr R also present a row of explanations (ie lies) both to Miss P and to other creditors, including the newly become a creditor Mr P. 
“The lack of funding was due to transfers between accounts into Commonwealth bank of Australia”.
“There were some issues with authorisations due to Mr R’s usage of two different surnames”.

But eventually the truth had to be revealed; Mrs R have packed the bags and left, and in the process frozen all of the couple’s assets. 
Note; As far as the author are aware, Mr P to this day have not seen any return on his $2000.00 -&amp;#160; 48 hour loan.

The company, now insolvent, proceeds in good faith with business, proceeds to collect seminar payments for promised future seminars. Both Mr P, Mr K and at Mrs A, are some of the victims in the company managements attempt to salvage the sinking ship.

Other victims are of course staff members such as Mrs T, and a row of other creditors.

Miss P, have now finally awaken from her fairy tale world, her ignorance, and to harsh reality regarding her so “generous and knowledgeable partner and mentor”. She has been ignorant to all principal of business management, taking on personal liabilities in total faith and trust.

As a director she is responsible for the management, as such she should have secured funds in the company’s bank accounts rather than trusting supply on a day to day basis as need arises. It is of little help for Miss P to refer to shareholders agreement, and commitments of providing “”financial assistance when and if it’s needed in the company””.

Miss P is now unemployed, no income, and no money to pay either food or rent. And certainly no funds or resources, to in any way consider legal action against her deceitful business partner.
Commitment towards the company and it&#39;s creditors;
Although there is very little Miss P could do without any funding of her own, she could possibly have woken up to reality far sooner than she did. As she taken the position as a company director, one could argue, despite her ignorance and lack of experience, that she should have taken actions towards proper management of the company - or an earlier proper closing of the company.

Instead she commit herself as a guarantor for rental contract.
Guarantor for some creditor debts.
Sole contract holder for office equipment lease agreements.
Employing staff, without the business structure and without proper work definitions.
If we to this list, add an estimated amount for legal financial commitments such as taxes superannuation contributions etcetera, Miss P would find herself in a quite severe situation.

As a matter of fact, a debt situation probably well above $50,000. (Amounts that can’t be finalised until the close / liquidation of the company are completed – if that ever it is to happen.)
Contractual rent commitments; &amp;#160; &amp;#160; &amp;#160; &amp;#160;&amp;#160; &amp;#160;&amp;#160; $12,000
Lease of office equipment; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; $19,000
Miscellaneous debts; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160; &amp;#160;&amp;#160; $ 4,500
Estimated taxes and other liabilities; &amp;#160;&amp;#160; &amp;#160; $17,000

Putting oneself in a situation like this is foolish, and very ignorant, and Miss P will have to carry the effects of this foolishness for many years to come.
Now to the aftermaths of the collapse&amp;#160; -&amp;#160; but it has to wait for the next chapter…

Introduction;
The company; K-Management’s Short History - what went wrong ? - ;
Refered to here as &#39;the company&#39;, or just &#39;company&#39;.

The managing director; Mr R.

Fiction story, or real one - who knows? We can probably leave the reality judgements to our readers.

Some people mentioned, and with interests in the case might be; Mr K, Mrs T and maybe also mentioned a; Miss P.
Passive outsiders breifely mentiond might be people like Mrs R, Mrs A and Mr P.

For myself, as an insignificant bystander and fairy tale author, (amateur guest blogger on this website) it might suffice to name me; “author unknown”

Had this little story happened in Australia, we could have put this heading on it;

“A cute romantic fairytale - until the shit hit the fan.”

In the middle of 1912 Miss P and Mr R was working together, in the process some synergy around mutual ambitions to move on was established.

For Miss P it was the vision of becoming an entrepreneur, now an opportunity arose that looked simply  too good to resist;
Fully financed venture. A venture backed financially by years of multimillion dollar successes - it seemed.

Fully supported by experience and knowledge.
A mentor and teacher qualified by university degrees, and years of successful entrepreneurship.
Geeee, was she in for a reality chock.)

For Mr R, the &quot;official vision&quot;, was to create and run yet another successful business story.

However, as is evidenced in this little story, and is quite obvious when one look at and examin the unfolding of the events, the lack of business strategy and planning, - there was obviously a hidden agenda as well, right from the word &#39;go&#39; ;

I would like to put forth - and put to test - the following claim;
Mr R’s hidden agenda was to seduce Miss P into a relationship far beyond the level of business partners, a relationship of marriage and family creation. A neat and reasonable ambition I assume – IF it hadn’t been for an almost 30 year aged difference between the two.
&amp;#160;

Pampering and grooming;
I would even like to suggest, that the choice of residents for the company was part of the seducing of Miss P. We all have an ego, and the few who are aware of their egos struggling to keep it under control, the vast majority however have no idea that they are just a slave under a very dominant subconscious ego.

Miss P’s ego was flattered and happy, flying high in the skyes and looking like a Queen.

On a business perspective however, the choice of residence was nothing short of suicidal insanity, no customer base, no revenues and no assigned capital to the business. Yet, the company management committed to a rental cost at times exceeding $7000.00 per month - $7000 worth of rent and services that could easily be obtained for $700 per month.
&amp;#160;


And the seducing and blinding of Miss P worked, she never hesitated when it came to signing personal guarantees and other commitments for these young company. Including a personal guarantee for this so outrageously expensive rental contract.

But the spending didn’t stop there, it continued in more personal aspects;

Wining and dining, coffee shops and lunch meetings, almost ironically actually, considering the rental costs paid. And then proceeding to run company meetings out on coffee shops and restaurants. Certainly seem obvious that the interest was NOT in teh company.

In addition to setting the scenario and lifestyle of luxury, Mr R also showered Miss P with presents; clothing, jewellery and more.

So what about the business plan? Or lack theroff?
Were there any business plan, or was it just a vague ideas that something just might turn out good.

As we know, building a successful business is a several years process, and I would say particularly so in the competitive field where this company decided to operate. Despite these obvious facts our friend and experienced businessman Mr R puts a project time of six months on this endeavour.

Such a short time plan, six-month on what should reasonably have been set up towards six years should have caused some form of urgency on the management - shouldn’t it? Urgency and heavy spending on marketing, on building a customer base, on getting the name out there.

Nothing, or insignificant amounts was spent on marketing in the business, I would personally estimate that the wining &amp;amp; dining combined with the gifts to Miss P would far exceed the sales and marketing expenditure in the company.

So what was the plan then, were did the efforts and ambition go?

Well there was an urgency in setting up seminars, having meetings, and show the world the glamour of the company. But it was all back to front.

Again there was no customer base - because there were never any focus on marketing.

There was seminars organised - but there were no attendees.
The company management had to bribe friends and family to act as attendees.

There were showcase function nights, hugely expensive functions I might add, and again no customer base, hardly any paying participants.

These seminar and function stress, may I call it insanity, actually continued long after the financial collapse of the company. Mr R seemingly in a state of denial, or in a fairy tale states - where his fairy would come and wave are wand and turn everything right



The collapse I guess, was inevitable in early 1913.

Mr R decided to reveal his intentions to Miss P - that the intention was not business but the marriage and children. With Misss P as the mother of his future sons.&amp;#160; At this stage - obviously and in inevitably - the intention was noticed by Mrs R as well - and as you put it down in Australia;
The shit hit the fan&amp;#160;&amp;#160; --&amp;#160;&amp;#160; to be continued.
